These Terms & Conditions (“Terms”) govern your access to and use of www.michelerx.com (the “Website”) and any related portals, features, content, forms, tools, or services offered through it (collectively, the “Platform”). These Terms incorporate by reference our Privacy Policy and any additional policies posted on the Platform (collectively, “Policies”). By using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree, do not use the Platform.

1) Who We Are (Platform vs. Medical Care)

The Platform is owned and operated by Michele Rx (“Michele Rx,” “we,” “us,” “our”).
Michele Rx is not a medical provider and does not practice medicine. The Platform provides administrative, technology, and support services that may include:

• facilitating telehealth communications;
• collecting information for provider review;
• providing scheduling and payment support;
• coordinating prescription fulfillment through third-party pharmacies when requested and permitted.

Medical services (including prescribing) are provided by licensed healthcare professionals who exercise independent clinical judgment. Those clinicians are solely responsible for medical decisions, diagnosis, treatment, and prescribing.

2) Eligibility

By using the Platform, you represent that:

• You are at least 18 years old (or the age of majority in your location).
• You are located in a jurisdiction where Services are offered and legally permitted.
• You will provide accurate and complete information.
• You are legally capable of entering into these Terms.

We may refuse service or restrict access if you do not meet eligibility requirements or if Services are not appropriate.

3) Telehealth Services & Limitations

Telehealth may not be appropriate for every condition. By using the Platform:

• You understand telehealth is not for emergencies.
• A provider may require additional information, labs, or an in-person visit.
• A provider may determine you are not eligible for treatment and may recommend alternative care.
• Prescriptions, treatment plans, and outcomes are not guaranteed.

You agree to review and accept any Telehealth Consent and related disclosures presented during intake or care.

4) Your Responsibilities & Accuracy of Information

You agree to provide truthful, accurate, current, and complete information, including medical history, medications, allergies, symptoms, and any requested vitals.

Submitting false, misleading, or incomplete information may cause delays, denial of service, or discontinuation of Services and may increase health risks.

5) Accounts, Security & Electronic Communications

If you create an account or submit information through the Platform, you are responsible for maintaining confidentiality of access credentials and for all activity under your account.

You consent to receive communications electronically from us (including via email, SMS/text, and in-platform messages) related to your account, services, scheduling, billing, and required notices.

6) Payments, Refunds & Service Fees

Fees (if any) will be disclosed before you submit payment. Fees may include visit fees, subscription/membership fees (if offered), administrative/technology fees, and shipping/handling fees (if applicable).

Refunds: Refund eligibility depends on whether services have begun (for example, if intake was submitted, reviewed, or a provider has spent time on your case). If a separate Refund Policy is posted on the Platform, it will govern refunds.

7) Prescriptions, Pharmacy Fulfillment & Third Parties

If a licensed provider prescribes medication:

• Prescribing is based on the provider’s independent clinical judgment.
• Medication is not guaranteed.
• Any dispensing, compounding (if applicable), shipping, or pharmacy services are provided by third-party pharmacies (unless explicitly stated otherwise).

You authorize Michele Rx to share the minimum necessary information with pharmacies, labs, and fulfillment partners to coordinate requested services, consistent with applicable law and our Policies.

8) No Medical Guarantee; Educational Content Disclaimer

The Platform may include educational information. Such information is not medical advice and does not replace a medical evaluation by a qualified clinician.

Results vary by individual. We make no guarantee regarding outcomes.

9) Acceptable Use

You agree not to:

• use the Platform for unlawful, deceptive, or harmful purposes;
• attempt to gain unauthorized access to systems or data;
• introduce viruses, malware, or harmful code;
• impersonate another person or misrepresent your identity;
• misuse forms, communications, or payment systems.

We may suspend or terminate access if you violate these Terms.

10) Intellectual Property

All content, branding, text, graphics, logos, and materials on the Platform are owned by or licensed to Michele Rx and protected by applicable intellectual property laws. You are granted a limited, non-transferable license to access and use the Platform for your personal, lawful use.

11) Third-Party Links & Services

The Platform may contain links to third-party websites or services. Michele Rx does not control and is not responsible for third-party content, services, or policies.

12) Disclaimer of Warranties

The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, Michele Rx disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and availability.

We do not warrant that the Platform will be uninterrupted, error-free, or secure.

13) Limitation of Liability

To the fullest extent permitted by law, Michele Rx will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, data loss, or business interruption.

To the extent liability cannot be excluded, Michele Rx’s total liability for any claim will not exceed the amount you paid to Michele Rx for the applicable service in the six (6) months preceding the event giving rise to the claim.

14) Indemnification

You agree to indemnify and hold harmless Michele Rx and its owners, officers, employees, contractors, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Platform, violation of these Terms, or violation of applicable law or third-party rights.

15) Suspension & Termination

We may suspend or terminate your access to the Platform at any time if we believe:

• you violated these Terms,
• fraud or misuse occurred,
• access poses a security risk,
• Services are not appropriate.

You may stop using the Platform at any time. Certain provisions (like disclaimers, limitation of liability, and indemnification) survive termination.

16) Governing Law & Venue (North Carolina)

These Terms are governed by the laws of the State of North Carolina, without regard to conflicts of law principles. Any dispute not resolved informally will be brought in the state or federal courts located in Wake County, North Carolina, unless applicable law requires otherwise.

17) Changes to These Terms

We may modify these Terms at any time by posting an updated version on the Platform. The “Last Updated” date will change accordingly. Continued use after changes means you accept the updated Terms.
